NAVIGATING THE COMPLEXITIES OF SOFTWARE LICENSE AGREEMENTS

 

As the use of technology has played an increasingly more important role in the public sector, the need to draft, negotiate, and execute software license agreements has also grown significantly.  Unfortunately, many public procurement departments are not always equipped with the proper means to deal with the complexities of software license agreements.  To make matters more difficult, software is often proprietary to a specific company keen on using its own unilateral terms and conditions, thus leaving the public procurement officer with little room for negotiations.  This presentation will explore the various components and issues related to software license agreement to ensure public procurement officers can effectively navigate their way through the complexities of software license agreements.

 

 

BIO – Masih Bahadori

 

Masih Bahadori is currently a Principal Contract Administrator at the Orange County Transportation Authority.  He began his career in public procurement 11 years ago as a contract specialist with the federal government where he worked primarily on contracts related to public works.  In the past 6 years he has transitioned to professional service type contracts, with a particular emphasis on software license agreements, including implementation, upgrade, and cloud services.  When he is not working on software license agreements, Masih serves as adjunct faculty at Irvine Valley College where he teaches a speech class.  He also enjoys playing soccer and spending time with his wife and two sons.
